Terms of Service

The terms that apply when you use zipitsolutions.com.au or engage ZIP IT Solutions for IT services.

Agreement

By using our website or services, you agree to these Terms. If you are entering into an agreement on behalf of a business, you confirm you have authority to bind that business. Specific projects may also be governed by a separate statement of work or service agreement. Where there is a conflict, the signed agreement prevails.

Services

ZIP IT Solutions provides managed IT, cybersecurity, Microsoft 365, and related professional services to Australian businesses. Service scope, deliverables, and fees are defined in proposals, statements of work, or recurring service agreements, not solely by general marketing content on this site.

We may update or discontinue parts of our service offering. Where you have an active agreement, we will provide reasonable notice of material changes that affect you.

Quotes, billing, and payment

Fees are quoted in Australian dollars unless stated otherwise. Payment terms are set out in your agreement or invoice. Unless otherwise agreed, recurring services are billed in advance and project work may require a deposit or milestone payments.

Overdue amounts may result in suspension of services after notice. We may charge interest on late payments at a rate permitted under applicable law.

Acceptable use

When using our services or systems, you agree not to:

  • Use services for unlawful, fraudulent, or harmful activity
  • Attempt unauthorised access to our or third-party systems
  • Introduce malware or interfere with service availability
  • Send spam or bulk unsolicited communications through our infrastructure
  • Infringe intellectual property or privacy rights of others

We may suspend access where use poses a security, legal, or operational risk, with notice where practicable.

Intellectual property

Our website content, branding, documentation, and tooling remain our property or that of our licensors. You receive a limited licence to use deliverables as described in your agreement.

You retain ownership of your data and content. You grant us a licence to host, process, and back up that content as needed to provide the services.

Privacy and data

Our handling of personal information is described in our Privacy Policy. You are responsible for maintaining appropriate backups of business-critical data unless a backup service is explicitly included in your agreement.

Service availability

We aim to deliver reliable services and will respond to incidents according to the support terms in your agreement. Planned maintenance will be communicated where possible. We are not liable for outages caused by factors outside our reasonable control, third-party provider failures, or issues arising from client-side changes made without our involvement.

Ending an engagement

Either party may end a service in line with the termination clause in the relevant agreement. Termination does not remove obligation to pay for work already performed or committed charges in the current billing period.

On exit, we will cooperate on a reasonable handover of access and data within the period specified in your agreement.

Liability

Services are provided with reasonable skill and care. To the extent permitted by law, we exclude implied warranties not required by statute. Our liability for any claim is limited to the amount paid for the specific service giving rise to the claim in the twelve months before the event, except where liability cannot be limited under the Australian Consumer Law or other applicable law.

Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies rights or remedies you may have under the Australian Consumer Law that cannot lawfully be excluded.

Governing law

These Terms are governed by the laws of Queensland, Australia. Disputes should first be raised with us directly so we can attempt to resolve them informally. If court proceedings are necessary, the courts of Queensland have jurisdiction.
